Shareholders Update & Shareholder Register of the Company, 09 June 2026

* REGGEBORGH INVEST B.V. is not controlled by any natural person or legal entity, in accordance with Article 3 of Law 3556/2007, and does not control any other entity holding, directly or indirectly, a participation in the issuer ELLAKTOR S.A.
On 06.05.2022, REGGEBORGH acquired a call option right to purchase 52,000,000 ordinary registered shares (i.e., 14.9343% of the voting rights) of ELLAKTOR S.A., with an exercise/conversion period of 36 months, from 06.05.2022 until 06.05.2025.
On 31.03.2023, the aforementioned call option was reduced to 7.4671% of the voting rights (i.e., 26,000,000 ordinary registered shares) of ELLAKTOR S.A.
On 05.07.2024, 13.01.2025, and 23.07.2025, portions of the call option totaling 7.4671% of the voting rights of ELLAKTOR S.A. were exercised.

** The acquisition of 104,000,000 ordinary registered voting shares issued by ELLAKTOR S.A. (corresponding to 29.87% of the Issuer’s voting rights) was effected through an over-the-counter (OTC DVP) transaction on 06.05.2022. On 16.01.2025, MOH notified that its participation had fallen below the 25% threshold (and that a change exceeding 3% had occurred). On 25.07.2025, MOH further notified that, following the exercise on 23.07.2025 of the remaining Call Option (corresponding to 1.493% of the voting rights of ELLAKTOR S.A.), its participation was then adjusted to 20.401% of the total voting rights of ELLAKTOR S.A. On 15 May 2026, its participation in the Issuer’s share capital and voting rights decreased below the 15% threshold, reaching 10.41%.

*** ATLAS NV was absorbed by ATLASINVEST HOLDING B.V., which is ultimately controlled by Martialis Quirinus van Poecke. On 3 June 2026, the direct holding of ATLASINVEST HOLDING B.V. in the share capital and voting rights of ELLAKTOR S.A. exceeded the 10% threshold.
